Eligibility & Accounts
You must be at least 18 years old and able to form a binding contract to use our services. You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account.
Client Responsibilities
To deliver our services effectively, we rely on your cooperation.
- Provide accurate, complete, and timely information, access, and materials.
- Obtain all necessary rights, consents, and authorizations for materials you provide.
- Comply with all applicable laws and regulations, including healthcare and privacy laws.
- Review deliverables promptly and provide feedback within agreed timelines.
Fees & Payment
Fees, billing cycles, and payment terms are set out in your service agreement. Unless otherwise stated, invoices are due within the period specified on the invoice.
Late payments may incur interest and may result in suspension of services. All fees are exclusive of applicable taxes unless stated otherwise.
Intellectual Property
Unless otherwise agreed in writing, deliverables created specifically for you become your property upon full payment. Keykraft retains ownership of its pre-existing tools, frameworks, know-how, and reusable components.
You grant Keykraft a limited license to use your brand assets solely to perform the services and, unless you opt out, to reference your engagement in our portfolio.
Confidentiality
Each party agrees to protect the other's confidential information and to use it only for purposes of the engagement. This obligation survives termination of the agreement.
HIPAA & Data Protection
For medical billing engagements, Keykraft acts as a business associate and complies with the Health Insurance Portability and Accountability Act (HIPAA) under a signed Business Associate Agreement. Both parties agree to safeguard protected health information accordingly.
Warranties & Disclaimers
We provide our services with professional care and skill. Except as expressly stated, the services and website are provided as is without warranties of any kind, whether express or implied, including merchantability or fitness for a particular purpose.
Limitation of Liability
To the maximum extent permitted by law, Keykraft shall not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or revenue. Our total liability for any claim shall not exceed the fees paid for the services giving rise to the claim in the three months preceding the event.
Indemnification
You agree to indemnify and hold Keykraft harmless from claims, damages, and expenses arising out of your breach of these Terms, your content, or your violation of any law or third-party right.
Termination
Either party may terminate an engagement as provided in the applicable service agreement. Upon termination, you remain responsible for fees incurred, and each party will return or destroy the other's confidential information on request.
Governing Law
These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law principles. Disputes shall be resolved in the courts located in Travis County, Texas, unless otherwise required by law.
Changes to These Terms
We may update these Terms from time to time. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
